General Terms and Conditions NJP STUDIOS AG

1. scope of application and contractual partners

Die Allgemeinen Geschäftsbedingungen (nachfolgend «AGB») der NJP STUDIOS AG (nachfolgend «NJP») finden Anwendung auf alle On- und Offline-Auftragsproduktionen, Angebote und Verträge. Abweichungen hiervon bedürfen der ausdrücklichen schriftlichen Zustimmung von NJP. Massgebend ist jeweils die zum Zeitpunkt der Auftragsvergabe gültige Fassung der AGB, die nicht einseitig für diesen Auftrag geändert werden kann. Die NJP behält sich das Recht vor, die AGB zu ändern.

2 Conclusion of contract and liability

A binding request is always required to arrange a production date. NJP will confirm the appointment within 24 hours (except on weekends and public holidays) in writing by e-mail to the address provided. The appointment shall be deemed binding as soon as a confirmation or a production confirmation is received from NJP.

The services offered in the webshop are non-binding and are not to be understood as a binding offer to conclude a purchase contract with the customer. Only after completing the check-out process in the shopping cart and clicking on the "Order now with obligation to pay" button does the customer submit a binding offer to conclude the purchase contract.

NJP is committed to an ethic of respect, justice and equality and firmly rejects any form of sexual abuse, racist values and political hostility. For this reason, NJP reserves the right to refuse to provide services, in whole or in part, if a product or service requested by the client or partner company violates these fundamental values and principles. In this case, the client will be informed and any payments already made will be refunded.

3. prices

Unless special agreements have been made, the offer prices communicated in the offer or in the web store shall apply to the respective project. In this case, the contractor's current prices at the start of production shall apply. The prices stated in indicative offers are non-binding. Prices and offers are subject to change at any time.

Any shipping costs for CDs and other shipping materials as well as fees for bank and postal transfers will be invoiced additionally according to expenditure and costs.

Unless otherwise agreed, prices are quoted in Swiss francs. For customers from Switzerland and the Principality of Liechtenstein, the total price includes the currently applicable statutory VAT.

4. vouchers and promotions

Promotions are available for a limited time. NJP reserves the right to cancel or modify any promotion at any time and at its sole discretion. Promotions are not retroactive and cannot be combined with other offers or discounts unless otherwise stated.

vouchers are issued in the name of a specific person or company and can only be redeemed in accordance with the terms and conditions stated on them. It is not permitted to sell or otherwise trade vouchers or voucher codes without prior written consent. The voucher is valid for two years from the date of issue.

When paying with a voucher, remaining amounts within the validity period of the voucher can be redeemed at a later date. Cash payment is not possible.

5 Terms of payment and retention of title

Unless otherwise agreed, a payment period of 10 days after receipt of the invoice shall apply. NJP reserves the right to refuse to release the Master Files until all outstanding payments have been settled. In certain cases, NJP may request a down payment. This is particularly possible for large order volumes or for clients with insufficient payment history. The conditions for a required down payment will be determined individually and communicated to the client in writing.

Until full payment of the order and all other orders of the client to NJP, the contractor retains all performance and reproduction rights to the image, text and sound productions created as part of the order or provided from the contractor's archive. The Customer shall be responsible for all fees, costs and expenses incurred by NJP in connection with collection proceedings.

For online services, NJP shall only accept the payment methods displayed to the Customer during the order process in the web store. Purchase on account is not available for online services.

6 Cancellation, refunds, changes, revisions

Unless it is a short-term production, booked services can be canceled free of charge within 24 hours of receipt of the order by telephone or e-mail, stating the order number. In this case, the full amount of the order will be refunded. The customer will be notified of the status by e-mail as soon as the project is in production. Thereafter, there is no entitlement to free cancellation.

Changes to an order (e.g. replacement mix file) must be notified immediately by e-mail to production@njp.ch, stating the order number. If the change is made within 24 hours of receipt of the order or before the start of production, it shall be free of charge. If the customer wishes to make changes or revisions that lead to an exchange of the files, the service costs for projects that have already been started or completed will be charged at the current hourly rate.

Depending on the product, up to 3 revisions are available to the customer free of charge for the services offered in the web store. Revisions include adjustments in editing, mixing and mastering, but not additional or new vocal recordings or reworking of a song. Excluded are implementations of additional audio tracks. Revisions cannot be carried out on the same day, except by prior arrangement. Delivery takes place after 1-4 working days.

Change and revision requests must be communicated within 5 working days of receipt of the product. If the customer is still not satisfied after the last, free revision, please contact us. In general, there is no entitlement to a refund.

7. delivery

Unless otherwise agreed, delivery will be made digitally by email or via the download link provided. A valid e-mail address must be provided for this. No deliveries will be made on weekends and public holidays.

Online Mastering / Online Mixing & Mastering / Online Dolby Atmos Mastering:
Master files and other requested files (such as 'Mixed Stems') will be sent within 5 to 10 working days via e-mail or the download link provided, unless otherwise agreed.

Vocal Recording / Mix & Mastering:
Acceptance by the client takes place either by demonstration in the studio or by digital provision of an MP3 audio file or MP4 for Dolby Atmos productions.

After acceptance, the master files and other requested files will be made available to the client for download via a link within 10 working days at the latest, unless otherwise agreed.

8.1 Audio productions

Production shall commence at the agreed time after the written or verbal conclusion of the contract. Recording dates are binding for the client, even if the client does not attend in person, in accordance with the production confirmation. If the client is unable to keep a booked production date for which Voice Talents has been booked, this must be canceled at least 24 hours before the planned recording date. In the event of cancellations or changes to dates at shorter notice, a cancellation fee of CHF 350 (excl. VAT) will be charged per Voice Talent.

The presence of the client during the recording is expressly recommended. Should changes be necessary that require further (correction) recordings, these will be charged according to NJP's current hourly rate as well as an additional fee for the voice talents involved. Travel or link costs with partner studios may also be incurred.

NJP is responsible for the technical realization of the recordings. Acceptance by NJP shall take the form of a demonstration in the studio or the digital provision of a video or audio file (MP4/MP3). The client is responsible for accepting the finished recordings or productions and releasing them for dispatch. By accepting the work, the client confirms both the technical and content-related quality of the work. Any change requests or the acceptance itself must be communicated by telephone or e-mail within 5 working days of delivery or provision of the service.

Change requests will be invoiced at the current hourly rate, unless a flat-rate agreement has been made or technical errors are present.

8.2 Music productions

Die Produktion beginnt nach schriftlichem oder mündlichem Vertragsabschluss zum vereinbarten Zeitpunkt. Die technische sowohl als auch inhaltliche Umsetzung von Aufnahmen obliegt NJP. Die Abnahme durch den Auftraggeber erfolgt durch Vorführung im Studio oder digitale Bereitstellung einer Video- oder Audiodatei (MP4/MP3).

Alle zur Prüfung bereitgestellten Demo- und Abnahmeversionen dürfen ausschliesslich für interne Evaluierungszwecke verwendet werden. Es sind keinerlei andere Nutzungs- oder Verwertungsrechte gestattet. Insbesondere ist es untersagt, diese Versionen oder Teile davon zu vervielfältigen, zu verbreiten, zu übertragen oder öffentlich zugänglich zu machen.

Die fertigen Aufnahmen oder Produktionen müssen vom Auftraggeber abgenommen und für den Versand freigegeben werden. Mit der Abnahme akzeptiert der Auftraggeber die technische und inhaltliche Qualität. Die Abnahme bzw. Änderungswünsche sind innerhalb von 5 Werktagen nach Lieferung bzw. Erbringung der Leistung telefonisch oder per E-Mail mitzuteilen. Änderungswünsche von Aufnahmen, Bearbeitungen oder Mischungen werden, sofern kein Pauschalabkommen oder ein technischer Fehler besteht, zum aktuellen Stundentarif in Rechnung gestellt.

Bei allen Produktionen, bei denen der Auftragnehmer mitgewirkt hat, verpflichtet sich der Auftraggeber:

a) gegenüber Dritten Stillschweigen zu bewahren
b) den Auftragnehmer nicht zu diskreditieren

Bei Zuwiderhandlung behält sich NJP das Recht vor, eine Konventionalstrafe zu erheben. Die genauen Modalitäten und Beträge dieser Strafe werden individuell festgelegt und dem Kunden schriftlich mitgeteilt. Weiter hat NJP das Recht vom Vertrag zurückzutreten. Alle daraus resultierenden Schäden trägt der Auftraggeber.

Vom Auftraggeber wird erwartet, dass er in allen Produktionen, an denen NJP beteiligt war, die Interessen des Auftragnehmers unterstützt, einschliesslich, aber nicht beschränkt auf Werbung, Interviews und Erwähnung in produktionsrelevanten Postings auf sozialen Netzwerken und relevanten Musikplattformen (z.B discogs, Genius, Streaming Plattformen). Dies umfasst die namentliche Nennung des Auftragnehmers, um die Mitwirkung angemessen anzuerkennen (sogenannte «Credits»).

9. format requirements

NJP recommends providing the audio files for processing in the following format: WAV 24bit 48 kHz / 44.1 kHz.

Audio files must be provided with a minimum resolution of 16bit 44.1 kHz stereo as WAV or 24bit 48 kHz / 96 kHz for Dolby Atmos. Other formats such as DAW projects or MP3 files are only accepted by prior arrangement.

10 Technical changes

Changes will only be made free of charge if there are technical problems with the master (e.g. clicks or distortions that occurred during the mastering process) or if files were delivered incorrectly by NJP. Clicks or distortions in the original track delivered by the client are not considered a technical problem.

11. alternative master / alternative mix

Additional audio tracks that are required for an Alternative Master or Alternative Mix must be provided correctly labeled and rendered. The following versions are considered alternative masters / mixes:

a) Instrumental
b) Acapella
c) Clean version or radio edit
d) Extended version

Remixes or other similar versions (e.g. with other lead vocals) are excluded. Please contact us at production@njp.ch if there are any uncertainties in this regard.

12. basic processing

Zusagen bezüglich der Termine für Bearbeitungs- und Produktionsvorgänge erfolgen nach bestem Wissen und Gewissen, jedoch ohne Gewähr.

Alle Kosten für Leistungen, Lieferungen und Versand gehen zu Lasten und in Verantwortung des Auftraggebers. Unabhängig davon, ob eine Rechnung an einen Dritten ausgestellt wird, gilt der Auftraggeber als die Person, die den Auftrag schriftlich oder mündlich erteilt hat. In diesem Fall trägt der Auftraggeber die volle Verantwortung für den entsprechenden Rechnungsbetrag. Sollte der Auftrag im Namen und auf Rechnung eines Dritten erteilt werden, muss der Auftragnehmer darüber ausdrücklich informiert werden. Der Auftragnehmer ist nicht verpflichtet, die Befugnis zur Auftragserteilung zu überprüfen.

Es liegt in der Verantwortung des Auftraggebers, sämtliche erbrachte Leistungen auf ihre Richtigkeit zu überprüfen. NJP haftet nicht für Schäden, die aufgrund unzureichender Prüfung des Inhaltes seitens des Auftraggebers entstehen.

Werden auf Kundenwunsch innerhalb der Aufträge geschützte Werke, Musik, Sprach- oder Gesangsaufnahmen verwendet, so obliegt die Klärung aller etwaigen Rechte Dritter dem Auftraggeber. NJP ist nicht verpflichtet, zu überprüfen, ob der Inhalt der beauftragten Arbeiten gegen gesetzliche Bestimmungen verstösst. Sollte dies der Fall sein, haftet der Auftraggeber für sämtliche daraus resultierenden Nachteile oder Schäden.

13. working with external material and third-party providers

NJP undertakes to treat all content and files provided by the client for evaluation, editing and production as confidential.

If the client provides sound and image recordings for editing and production that cannot be easily reproduced, the client shall bear the risk.

NJP attaches great importance to maintaining high quality standards. If, in NJP's opinion, the quality of the audio material supplied by third parties is inadequate, NJP reserves the right to refuse to carry out the order.

If, in the course of carrying out the order, additional external services are required which cannot be carried out using the studio's own equipment and personnel, NJP cannot be held responsible for the quality, delays and costs of these services.

For delays attributable to NJP's fault during a processing or production process, NJP shall only be liable up to the amount of its own services affected by the delay.

14. warranty

NJP guarantees the creation of a technically flawless product. The customer is obliged to check the service provided by NJP immediately upon receipt. The customer's warranty claim shall lapse if he does not notify NJP of the defect or incorrect delivery by e-mail, telephone or post within 10 working days of receipt of the files or provision for download. Without written notification within the specified period, the service provided shall be deemed approved and accepted by NJP.

15. copyrights and exploitation rights

The client confirms that it is in possession of the necessary copyrights, rights of use and exploitation rights for all orders placed and content provided or that it has the necessary licenses and permissions from the author or rights holder. The client releases NJP from any claims, costs or damages of third parties arising from the content provided by him.

The client expressly agrees that NJP may make legally required notifications to the relevant collecting societies (e.g. Swissperform).

For jointly created musical works, written agreements must be made and reported to the relevant copyright society (e.g. SUISA). This agreement covers in detail all aspects of the participation, including the type and scope of copyright participation, the rights and obligations of the parties involved.

16. rights of use

All productions and files supplied by NJP and the associated rights shall remain the property of NJP until payment has been made in full. The corresponding rights of use shall only be transferred to the customer after full payment has been made. In the case of music compositions and productions by NJP, restrictions may apply with regard to the rights of use. These shall be invoiced separately and are generally limited in terms of time, space and media. The client shall be obliged to inform NJP of any use outside the acquired rights and to acquire the necessary additional rights.

NJP shall provide interested parties and clients with voice samples via the speaker tool or by e-mail for the selection of speakers. In this context, a limited right of use is granted that applies exclusively to the internal selection of speakers.

There are no other rights of use or exploitation. In particular, it is not permitted to reproduce, distribute or make publicly accessible the voice samples.

The right of use for voice recordings extends exclusively to the time period and channels specified on the invoice. In all other respects, the General Terms and Conditions of the Association of Professional Voice Over Artists Switzerland (VPS) apply.

17. liability

NJP shall not be liable for any costs or damages incurred due to production downtime or delays caused by force majeure (e.g. accident, illness, death, power failure, pandemic, social unrest, etc.). The customer shall be liable for damages demonstrably caused by him.

Should unforeseen circumstances arise during recording or production that make it impossible to fulfill the contract, NJP shall only be liable in the event of intent or gross negligence. This liability shall also apply in the event that completion cannot take place within the agreed period. If the production or completion of the sound recording becomes impossible due to circumstances for which NJP or the client is not responsible, the client shall have the right to withdraw from the contract. In this case, however, the services rendered up to that point shall be paid for.


The client shall assume responsibility for all losses, damages or claims by third parties that are attributable to the actions or omissions of the client or its representatives. This includes damage to property, loss of data, intellectual property infringement, personal injury, breach of contract or infringement of rights arising in connection with the order.

18. other

The GTCs are recognized by the client for all orders. Any deviating agreements must be recorded in writing.

19. severability clause

Should parts or all of the General Terms and Conditions not form part of the contract or be declared invalid, the remainder of the contract shall nevertheless remain in force.

20 Jurisdiction

Swiss law shall apply. The place of jurisdiction is Zurich.
